Terms of Service

1. The Service
Liberty Dispatchers, a division of mytypebeat, LLC ("Dispatcher") provides nationwide independent truck dispatching services to owner-operators and fleet carriers ("Carrier"). Our services include load sourcing, rate negotiation, broker communications, broker and factoring packet preparation, rate confirmation execution under a Limited Power of Attorney, and back-office documentation support.
2. Commission
Carrier agrees to pay Dispatcher a commission of 7% of gross revenue for the first 14 days of service, and 10% of gross revenue thereafter for all loads arranged and dispatched by Dispatcher. There are no long-term contracts. The introductory 7% rate applies only to the initial 14-day trial period.
3. No Forced Dispatch
Carrier retains the absolute right to accept or refuse any load. Dispatcher does not guarantee a minimum number of loads, lanes, or revenue. Carrier is at all times an independent contractor and not an employee or agent of Dispatcher.
4. Carrier Responsibilities
Carrier agrees to maintain valid motor-carrier authority (MC/DOT), insurance, and registrations; to operate safely and in compliance with all applicable laws; to provide accurate information and documents; and to keep Dispatcher informed of availability and load status. Carrier is responsible for all driving, equipment, and on-the-road operations.
5. Limited Power of Attorney
Carrier grants Dispatcher limited authority to negotiate freight rates, execute rate confirmations, submit broker setup packets, communicate with brokers and factoring companies, and manage detention and back-office documentation on the Carrier's behalf for loads arranged by Dispatcher. This authority is limited to loads arranged by Dispatcher.
6. Payment
Loads are paid through the Carrier's factoring company or directly to the Carrier. Dispatcher's commission is deducted at the time of settlement. Carrier is responsible for any factoring fees or advances.
7. Term & Termination
This agreement remains in effect until terminated by either party with 7 days' written notice. Obligations for loads already dispatched remain in effect until fully settled.
8. Limitation of Liability
Dispatcher is not liable for any indirect, incidental, or consequential damages, or for any loss arising from Carrier's operation of a vehicle, equipment failure, cargo claims, broker non-payment, or matters outside Dispatcher's direct control. Dispatcher's total liability is limited to the commission earned on the load at issue.
9. Governing Law
These Terms are governed by the laws of the State in which mytypebeat, LLC is organized, without regard to conflict-of-law principles.
